![]() Consulting Services (Revised 5Feb00 at 21:35) To whom it may concern: Over the last several months, and especially the last few weeks we have been bombarded with requests for information on our Indianapolis project. We are encouraged by the interest generated via our web site and expressed by: e-mail, faxes, phone calls and personal visits, however, we did not feel that we were ready to actively seek additional locations for our products and services, until now. Our original plan was to wait until we completed the first facility, than start marketing it worldwide as our agreement with PEAT calls for. But, because of the overwhelming interest in our Indianapolis facility we are literally being forced to talk about future sites for our waste processing facilities and systems, now. Needless to say we don't look at this as a bad thing! Apparently, there is a need and a serious interest in solving our present and future waste and environmental problems, sooner than later. We've had serious inquiries from all parts of the United States, Canada, Mexico, and several Asian and European countries. These inquiries have come from individuals, businesses, communities and government agencies. Mostly, from individuals and businesses that are interested in securing the exclusive marketing rights for a particular area or for a particular waste stream. We know there has been a great deal of interest in the waste management (production and destruction) industry over the last few years' utilizing plasma technology for waste destruction, but to date, no one has been capable of building one. There have been good reasons for not doing so, but it also appears that times have changed. Now, due to PEAT's patented and proven technology and HI's marketing concepts, it is now economically feasible to process several waste streams at lower costs than was first imagined. Together PEAT and HI have spent over a million dollars developing the technology and the marketing concepts required for obtaining the permits necessary to build the facility in Indianapolis. The below three items are the main reason people have been contacting HI and asking us how they can get started on the permitting process in their area.

Dr. Springer and I also want you to understand, that under no circumstances will we divulge any confidential or proprietary information on PEAT's patented technology or HI's marketing strategies to you or your organization without an executed "Confidential and Non-Competition Agreement" being in place. Neither PEAT nor HI are interested in wasting time and money with anyone who does not qualify and/or have a genuine interest in PEAT/HI's technology and services that will be mutually beneficially to all concerned parties. Please understand that we can not afford to waste valuable time at this point. We have too many people and to many businesses/organizations that are interested in joining with us to make this a successful and a profitable business venture. Hawkins, Chairman & CEO, HI Disposal Systems, LLC CONSULTING FEES & PERMITTING COSTS After the $50,000 retainer has been received by HI, the below fee schedule will apply as HI starts the permitting and/or marketing process in your area. PLEASE NOTE: Even though PEAT/HI have successfully been able to obtain permits in California, Virginia and Indiana, that is no guarantee that we can do the same in your city/town or state. We understand that each city/town or state is different, and we will treat them accordingly. Our experienced technical, marketing and permitting team will work with you and your local authorities to obtain all the necessary permits required to build one of our solid waste processing facilities in your area in an expedited manner.We feel that because of the time and money PEAT/HI has already spent in: developing the technology; securing the technology through the patent process (both in the United States and Internationally); testing the technology; and, demonstrating the technology, we have from 80% to 90% of all the documentation (technical & procedures) that will be required in almost any city/town or state or country to successfully obtain permits to construct and operate the facility. We also feel that because of our experiences, we can undoubtedly help you save months of valuable time and probably several hundreds of thousands of dollars in permitting and marketing costs. Consulting Fees - Consulting fees range from $65.00 per hour to $150.00 per hour depending on your local requirements and the team members PEAT/HI assign to your project. We require a minimum of two of our people per visit. Please call us for arrangements. Direct (reimbursable) Expenses - Cost plus 15% Covers the expenses reasonably incurred by HI & its associates in performing services. Including, but not limited to, materials, supplies, use of specialized equipment, business travel (airline, auto rental, hotel, etc.) and subsistence costs, including mileage, cellular and non-local telephone and other communication charges, express delivery, postage and freight charges, work processing, computer processing and reproduction and printing charges required in providing services, plus permit fees, taxes, charges and assessments on services. Outside Expenses - Cost plus 10%Covers (both direct and indirect) and contracting costs incurred by HI & its associates and charged to HI & its associated in acquiring work or services by others on behalf of client in connection with performance of the project. HI will inform client on the utilization of all outside contractors, in advance, and will determine, in concert with client, the manner in which outside contractor service will be utilized.
